Abstract : This study addressed one of the most important topics that have recently been raised in the commercial environment. As allowing the establishment of such companies has constituted a coup on the traditional basis and a real revolution on the principles of corporate law, except for the concerns surrounding it and is based on the "limited liability" that the general guarantee of creditors is limited to the assets of funds allocated to the company as a public asset, The challenge is to find a balance between the right of the owner to manage the company and the interests of creditors and customers, and to reduce the manipulation of the rights of others under the guise of limited liability by accounting the owner and the company for any breach or failure to manage the company, The study adopted a comparative approach to the provisions of the Saudi Companies Law and compared them to the Bahraini Companies Law and the commercial jurisdiction of both countries. The Saudi regulator and legislator to assign responsibility to the entity. Moreover, to prove that responsibility through the provisions of the Companies Law, taking into account the general principles of liability as a reference if these laws do not address their statement. The laws, in general, agree on the nature of the relationship between the manager and the company, and the right to the owner to restrict the authority of the manager was granted an agreement by providing for it in the company's Articles of Association. Or the decision of appointing the director in advance of such restrictions with respect to the laws and regulations that govern the mechanism of that administration, taking into account the rights of others, the establishment of a minimum capital of one person company commensurate with the purpose of the company should be paid attention to, legal the owner-manager requires that the care is given to the management of the company be taken care of by the "prudent man" and contributes to the management of the company.
